Definitions
In this Constitution the words and expressions standing in the first column of the following table shall bear the meanings set opposite to them respectively in the second column thereof, if not inconsistent with the subject or context:

“The Act” | The Non-Governmental Organizations Co-ordination Act, 1990. |

“These Clauses” | The Clauses of this Constitution as now framed or as from time to time altered by Special Resolution. |

“The Board” | The Board of Directors for the time being of the Organization or the members of the Board present at a duly convened meeting of the Board at which a quorum is present |

“Chief Executive | A person appointed to perform the duties of the chief executive |

Officer” | Officer of the Organization |
| |
“The Organization” | The above-named Organization |
| |
“Director” | A person holding office in the Organization as a Director and who is a member of the Board |

“General Meeting” | A meeting of the Members for the time being of the Organization |
| |
“In Writing” | Written, printed or lithographed or partly one and partly another and other modes of representing or reproducing words in a visible form |
| |
“Kenya” | The Republic of Kenya |
| |
“Member” | A person or body corporate admitted to membership of the |
| |
“Membership” | The state or status of being a Member |

“Month” | Calendar month | ||
“The Office” | The registered office of the Organization | ||
